Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “Customer”) and ConfigIQ, Inc., a Delaware corporation with its principal place of business at 925 North La Brea Avenue, Suite 516, West Hollywood, CA 90038 (“ConfigIQ,” “we,” “our,” or “us”). These Terms govern your access to and use of our website at configureiq.com and any related products, applications, APIs, or services we offer (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Services

ConfigIQ provides a product data transformation and distribution platform that ingests heterogeneous product data, normalizes it into our proprietary data model, and distributes it to commerce channels and other destinations. Certain features may be offered as previews, beta, or early access and may change, be limited, or be withdrawn at our discretion.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business use; you may not use them for personal, family, or household purposes.

3. Accounts

Some Services require an account. You agree to provide accurate information, keep it current, and safeguard your credentials. You are responsible for all activity under your account and must promptly notify us of any unauthorized access. We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

4. Customer Data

Customer Data” means any data, content, files, product information, credentials, or other materials you submit to the Services.

As between you and ConfigIQ, you retain all right, title, and interest in your Customer Data. You grant ConfigIQ a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, analyze, transform, and display Customer Data solely to provide and improve the Services, to enforce these Terms, and as otherwise permitted by our Privacy Policy.

You represent and warrant that: (a) you own or have the necessary rights to submit Customer Data; (b) Customer Data does not infringe or violate any third-party rights or applicable law; and (c) you have obtained all consents required for us to process Customer Data on your behalf.

We may generate anonymized or aggregated data from Customer Data that does not identify you or any individual, and we may use such data to operate, improve, benchmark, and develop the Services.

5. License to Use the Services

Subject to your compliance with these Terms, ConfigIQ grants you a limited, non-exclusive, non-transferable, non- sublicensable, revocable license to access and use the Services for your internal business purposes during the term of your subscription or access.

6. Acceptable Use

You agree not to:

  • Use the Services in violation of any law, regulation, or third-party right;
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent this restriction is prohibited by law;
  • Copy, resell, sublicense, or provide the Services to any third party, except as expressly permitted;
  • Probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measures;
  • Access the Services to build a competing product or to benchmark against a competing product;
  • Submit malicious code, viruses, or harmful files, or content that is defamatory, infringing, obscene, or unlawful;
  • Use automated tools, bots, or scrapers to access the Services other than through APIs we provide and in accordance with their documentation;
  • Interfere with or disrupt the integrity or performance of the Services; or
  • Use the Services to make decisions that produce legal or similarly significant effects about individuals without appropriate human oversight.

7. Intellectual Property

The Services, including all software, data models (including our Relational Identifier and Universal Product Model frameworks), documentation, designs, trademarks, and content (other than Customer Data), are owned by ConfigIQ or its licensors and are protected by intellectual-property laws. No rights are granted to you except as expressly stated in these Terms. If you provide us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

8. Third-Party Services

The Services may integrate with or link to third-party products or services (for example, Magento, Shopify, BigCommerce, Google Merchant, HubSpot, Vercel). Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services and disclaim liability for them.

9. Fees

Certain Services may require payment of fees. When applicable, fees, billing terms, and payment methods will be set out in an order form, subscription page, or separate written agreement. Unless stated otherwise, fees are non-refundable and are exclusive of taxes, which are your responsibility. Free trials or previews may be offered, modified, or discontinued at our discretion.

10. Confidentiality

Each party may disclose confidential information to the other in connection with the Services. The receiving party agrees to use the same degree of care it uses to protect its own confidential information (and in no event less than reasonable care) and to use the information only to exercise its rights and perform its obligations under these Terms.

11. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, ConfigIQ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that any data, including transformed product data, will be accurate, complete, or appropriate for your intended use. You are responsible for reviewing and validating all output before relying on it.

12. Limitation of Liability

To the fullest extent permitted by law, ConfigIQ and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Services or these Terms, regardless of the theory of liability, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or related to these Terms or the Services will not exceed the greater of (a) the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages; to the extent those laws apply, the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless ConfigIQ and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Data; (b) your use of the Services in violation of these Terms or applicable law; or (c) your violation of any third-party right.

14. Term and Termination

These Terms apply from the date you first access the Services and continue until terminated. You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or pose a risk to the Services, us, or other users. Sections that by their nature should survive (including Customer Data ownership, IP, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, for any dispute arising out of or related to these Terms or the Services, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Changes to the Services and Terms

We may modify or discontinue the Services or features of the Services at any time. We may also update these Terms; when we do, we will revise the “Last updated” date and, where appropriate, provide additional notice. Material changes will be effective upon posting unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

We may provide notices to you by email, through the Services, or by posting on our website. You may provide notices to us at the address or email below.

18. Miscellaneous

  • Entire agreement — these Terms, together with the Privacy Policy and any order form or other written agreement between us, constitute the entire agreement between the parties and supersede any prior or contemporaneous agreements on the same subject matter.
  • Assignment — you may not assign or transfer these Terms without our prior written consent; we may assign without restriction in connection with a merger, acquisition, or sale of assets.
  • Severability — if any provision is held unenforceable, the remaining provisions will remain in full force.
  • Waiver — no waiver of any term is effective unless in writing, and no failure to exercise a right is a waiver of that right.
  • Force majeure — neither party is liable for delays or failures caused by circumstances beyond its reasonable control.
  • Relationship — the parties are independent contractors; nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
  • Export controls — you agree to comply with all applicable export and sanctions laws.
  • U.S. Government users— the Services are “commercial items” and “commercial computer software” as defined in FAR 2.101 and DFARS 252.227- 7014, licensed with only the rights stated in these Terms.
